Veralto has entered into a definitive agreement to acquire Cleanwater1 in a $465 million deal that will expand its position in water disinfection, contaminant removal and treatment technologies.
The transaction, announced on 19 August 2026, is expected to close in the fourth quarter of 2026, subject to customary closing conditions. After estimated tax benefits, Veralto said the net purchase price is approximately $452 million.
Cleanwater1 provides on-site hypochlorite disinfection, solids management and odour filtration technologies for municipal drinking water, wastewater and industrial applications. The company has an installed base of approximately 25,000 units, giving Veralto a larger recurring service and aftermarket opportunity across water treatment operations.
Deal strengthens Veralto’s water quality segment
Veralto said Cleanwater1’s technologies are complementary to its existing water treatment portfolio and will expand the company into adjacent water treatment applications. The acquisition is also expected to create commercial opportunities with Trojan Technologies, Veralto’s ultraviolet water treatment business.

Cleanwater1 adds disinfection and odour control capability
Cleanwater1’s portfolio includes technologies and brands used in chemical feed, water disinfection, tank mixing, solids management and odour control. These include Polyblend, Dynablend, Veloblend, PAX Mixers, Monoclor RCS, Microclor OSHG and I-Box Odor Control Systems.
The company serves municipal and industrial water and wastewater markets, supporting treatment plants and operators working to meet water quality, safety and regulatory requirements.

Financial details of the acquisition
Cleanwater1 generated approximately $135 million in sales over the last twelve months to 30 June 2026, according to Veralto. Around 25% of those sales came from aftermarket activity.
Veralto said Cleanwater1’s sales have grown at a low double-digit compound annual growth rate since 2023. The company expects the acquisition to be neutral to modestly accretive to adjusted earnings per share in 2027.
The deal forms part of Veralto’s wider strategy to grow its water quality platform, which includes technologies focused on clean water, safe food and product quality.
